Each advertising campaign may involve a number of parties, and therefore a number of different contracts and fee arrangements between the parties.

Each campaign is different and can involve, among other things, a number of different parties such as a specific advertiser, a media agency, an advertising agency, an outdoor media specialist and an outdoor advertising company. Such business relationships are governed by a wide variety of contracts and agreements that can create confusion about refunds, commissions, discounts and so on.

It is not unusual for outdoor advertising companies to offer commissions to media agencies and outdoor media specialists for the total price of the advertisement. In practice, such commissions vary from company to company, depending on negotiations with media agencies and outdoor media specialists.

It is standard practice for such commissions to be counted as a discount on the total advertising price. In addition to these commissions, in certain cases, the poster specialist or media agency asks outdoor advertising companies, including Bauer Media Outdoor, to guarantee a discount on the volume, which is usually calculated on the basis of the total cost of the service purchased by the poster specialist or media agency during the contract period (typically one calendar year). Such agreements are likely to differ between outdoor advertising companies and poster specialists and media agencies. Agreements (including progressive discount rates) that Bauer Media Outdoor has entered into with poster specialists and media agencies may, for certain specialists and media agencies, represent a material percentage of the total annual value of any business that clients have commissioned from Bauer Media Outdoor.
